Terms of Service

1. Acceptance of terms

By accessing or using PM Assist ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the Service. These Terms apply to all users, including administrators, team members, and invited users.

2. Description of Service

PM Assist is an AI-powered assistant designed to help building and facilities management teams access information from their Operation & Maintenance (O&M) documentation. The Service includes document upload, AI-powered search, question answering, and team collaboration features.

3. User accounts

To access the Service, you must create an account or be invited by an administrator. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us promptly of any unauthorised access or use
  • Ensuring your account information remains accurate and current

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload malicious, harmful, or infringing content
  • Attempt to gain unauthorised access to other accounts, buildings, or system resources
  • Interfere with the proper operation of the Service or its infrastructure
  • Share your account credentials with unauthorised individuals
  • Use the Service to store content unrelated to building and facilities management
  • Attempt to reverse-engineer, decompile, or extract source code from the Service

5. Subscriptions and billing

The Service is offered under tiered subscription plans. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page. Payment is processed by Stripe.

  • Subscriptions are billed monthly unless otherwise agreed
  • You may upgrade, downgrade, or cancel your plan at any time from your account settings
  • Cancellations take effect at the end of the current billing period
  • Refunds are handled on a case-by-case basis — contact us if you have concerns

6. Data and privacy

Your use of the Service is also governed by our Privacy Policy. Documents uploaded to the Service are stored securely and isolated per building and tenant. We do not share your documents or data with other users or third parties except as required to provide the Service (see subprocessor details in our Privacy Policy).

You can export your personal data and delete your account at any time from your profile page. For details on data retention schedules and deletion procedures, see our Privacy Policy.

7. Intellectual property

You retain all rights to documents and content you upload to the Service. By uploading content, you grant us a limited, non-exclusive licence to process, store, index, and transmit that content solely for the purpose of providing the Service to you.

The Service itself — including its design, code, branding, and documentation — is owned by PM Assist and protected by applicable intellectual property laws.

8. AI-generated content

The Service uses artificial intelligence to generate responses based on your uploaded documents. Important disclaimers:

  • AI-generated content may contain errors, omissions, or inaccuracies
  • You should always verify critical information against original source documents
  • The Service provides source citations to support verification
  • AI responses do not constitute professional advice (engineering, legal, safety, or otherwise)
  • You are responsible for any decisions made based on AI-generated content

9. Service availability

We aim to provide reliable access to the Service but do not guarantee uninterrupted or error-free availability. We may perform maintenance, updates, or experience outages that temporarily affect access. We will make reasonable efforts to notify users of planned maintenance in advance.

10. Limitation of liability

To the maximum extent permitted by applicable law, PM Assist shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service, including but not limited to loss of data, loss of profits, or business interruption.

Our total aggregate liability for any claims arising from the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless PM Assist and its directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Changes to these terms

We may update these Terms from time to time. We will notify users of material changes via email or in-app notification. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you should stop using the Service.

13. Governing law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
